THE ROLE:
The Sr. Manager, Equity Plan Administration will be the in-house subject matter expert, responsible for managing and overseeing the day-to-day administration of the global company stock program, as well as the functional platform. This role will sit within the Total Rewards organization and will engage payroll, legal and accounting as necessary.
DETAILED RESPONSIBILITIES/DUTIES:
• Program Leadership & Operations
-Lead the administration of all global equity transactions (e.g., grants, vesting, cancellations, exercises, performance tracking).
-Manage the company’s equity administration platform, ensuring data integrity and efficient processing of all stock plan activities.
-Serve as primary liaison to stock plan administrators, brokers, and transfer agents; continuously identify and implement process improvements and system enhancements.
-Prepare and deliver reporting and analytics for Finance, Legal, HR, Tax, Treasury, and executive leadership, including Board and Compensation Committee materials.
• Compliance, Reporting & Controls
-Ensure SOX compliance for all equity processes and support internal and external audits, including audit documentation and quarterly/year-end reconciliations (e.g., W-2 records, tax accruals).
-Partner with Legal and Finance to support SEC filings (Forms 3, 4, 5), proxy tables, and 10-K/10-Q disclosures.
-Maintain and update the insider trading list and oversee 10b5-1 trading plans, blackout periods, and related pre-clearance processes.
-Track global tax and regulatory requirements, including country-specific compliance (e.g., China SAFE), and support global mobility cases.
• Cross-Functional & Strategic Support
-Act as primary point of contact for employee and executive inquiries regarding equity compensation; provide premium support for Section 16 officers and directors.
-Partner closely with Compensation, Legal, Payroll, Tax, Controllership, Global Mobility, and other collaborators to align on policy, reporting, and strategic equity initiatives.
-Ensure equity compliance with U.S. and non-U.S. tax, legal, and accounting regulations, and maintain up-to-date documentation of relevant requirements.
-Assist with modeling, analysis, and scenario planning for new or ongoing equity programs to inform executive decision-making.
• Employee Communication & Training
-Lead equity onboarding and deliver employee training sessions (live and virtual) related to stock awards, exercises, and plan rules; maintain and update “Herbalife Nutrition University” HNU platform content.
-Support broad-based educational initiatives and develop user-friendly materials to improve equity plan literacy across the organization.
-Prepare and distribute equity grant documentation and communications.
• Ad Hoc Projects & Continuous Improvement
-Drive automation, reporting scalability, and workflow optimization across all areas of equity administration.
-Lead or support special projects related to M&A activity, warrant exercises, share conversions, and strategic plan design changes.
-Keep abreast of industry trends and evolving regulations (e.g., SEC, IRS, FASB, international tax authorities) to ensure ongoing program compliance and excellence.

SKILLS AND BACKGROUND REQUIRED TO BE SUCCESSFUL:
Education
• Bachelor’s degree in Finance, Human Resources, Business Administration, or a related field.
• Certified Equity Professional (CEP) designation preferred
Skills:
• Strong organizational and communications skills a must
• Excellent analytical and problem-solving skills.
• Must be able to prioritize work and solve practical problems
• Occasional flexible hours required
• Excellent in Microsoft Word, PowerPoint, Excel, and Outlook, Access, Visio.
Experience:
• Minimum of 8 years of equity plan administration experience, including preparing month-end reconciliation and grant statements
• Experience in a multinational organization.
• Proven track record of managing complex equity programs
• Strong knowledge of equity compensation practices and regulatory requirements.
• Proficiency in equity management software and tools.
